Rideau Regional Centre Association By-law Resolution, 2009  - Dissolution Clauses

Given that the by-laws of the Rideau Regional Centre Association (RRCA) do not currently contain any provisions dealing with the eventual dissolution of the Association; it is proposed that the by-laws be amended with the addition of the following provisions.

5. Dissolution

5.1  The General Executive may present a resolution proposing the dissolution of the Association at an Annual General Meeting or at a special general meeting called for that purpose.

 

5.2  The resolution referred to in 5.1 shall provide for the final disposition of the assets of the Association in a manner compatible with income tax rules applicable to charitable organizations and must specify the official date of dissolution which must be no later than 3 months following the final disposition of the remaining assets of the Association.  The official date of dissolution can be set in reference to the date of the financial disposition of such assets.

 

5.3  The resolution referred to in 5.1 may also address other issues such as the final audit of the books and records of the Association, all other notifications and filings that should be attended to prior to dissolution and the retention and location of records of the Association following dissolution. 

 

5.4  Members shall be provided an opportunity to review the resolution referred to in 5.1 prior to the Annual General Meeting or special general meeting.

 

5.5  The resolution referred to in subsection 5.1 shall not be effective until is approved by a two third majority vote of members present at the Annual General Meeting or at the special general meeting.

Rideau Regional Centre Association Resolution, 2009 - Instructions and Conditions

Given that the mandate of the Rideau Regional Centre Association (RRCA) is to help promote a better quality of life for the residents of the Rideau Regional Centre, to enhance and support the Centre's administration and staff, and to bring to the attention of society the needs of persons with developmental disabilities;

And given that all the residents of Rideau Regional Centre have been moved to the community thus resulting in the usefulness and purpose of the Association being spent;

Subject to the resolution adding dissolution provisions to the Association’s by-laws being ratified by the membership at the Association’s Annual General meeting, it is proposed that the Association be dissolved in accordance with the following instructions and provisions which are consistent with the amended by-laws:

1) The Treasurer shall ensure that all outstanding debts, liabilities or obligations have been satisfied

2) The General executive will engage Algonquin College Foundation, Woodroffe Campus, 1385 Woodroffe Avenue Ottawa, Ontario K2G 1V8 to arrange for transfer of all  remaining assets to the Algonquin College Foundation  for creation of  annual awards for students of the Developmental Service Workers Diploma program

3) The dissolution date will be effective immediately following the final disposition of assets.

4) The Treasurer shall ensure that the Canada Revenue Agency is notified of dissolution, a final tax return filed, an audit performed and the financial institution notified of account closure.

5) The Treasurer shall retain all financial records for a period of seven years.

6) The Secretary shall ensure that Canada Post is notified that the current contract will not be renewed , a redirection of mail arranged for a period of three months and  the RRCA web site current contract not renewed.
